2 承包人

2.1 承包人的一般义务

2.1 General Obligations of Contractor



承包人在履行分包合同过程中应遵守法律规定和分包合同约定,并履行以下义务:

In performing the Subcontract, the contractor shall comply with statutory provisions and the terms of the subcontract, and shall fulfil the following obligations:



(1)按法律规定和分包合同约定对分包工程进行总承包管理协调;

(1) To manage and coordinate the subcontract works as the general contractor in accordance with statutory provisions and the terms of the subcontract;



(2)向分包人提供履行分包合同所需的相应条件;

(2) To make the requisite conditions available to the subcontractor for performing the Subcontract;



(3)保证分包人免于承担因承包人、其他分包人的疏忽造成的人员伤亡、财产损失或与此有关的任何索赔;

(3) To indemnify the subcontractor against any personal injury, property damage or related claims arising from the negligence of the contractor or other subcontractors;

The contractor shall specify in the particular conditions of contract the name, position, professional title, grade of engineer qualification, registration certificate number, contact details, and scope of authority of the contractor's project manager assigned to the construction site. The contractor's project manager shall, during the performance of the subcontract, handle specific matters related to the contractor within the scope of the contractor's authorisation. Should the contractor replace the project manager, the subcontractor shall be notified in writing seven days in advance.

紧急情况下,为了保证施工人员的安全或避免工程受损,承包人可以口头形式发出指令,该指令与书面形式的指令具有同等法律效力,但承包人应在发出口头指令后 48 小时内补发书面指令,补发的书面指令应与口头指令一致。

In urgent circumstances, to ensure the safety of working personnel or prevent damage to the works, the contractor may issue verbal instructions which shall have the same legal effect as written instructions, however the contractor should issue a written instruction within 48 hours of the verbal instruction which shall be consistent with the verbal instruction.



分包人收到承包人下达的指令后,认为不能执行的,应在收到变更指令后 3 天内提出不能执行的理由;承包人收到分包人不能执行的理由后再次要求分包人执行变更指令的,分包人应予执行,但变更指令违反法律规定或强制性标准的除外。

分包人在收到指令后 3 天内未向承包人提出异议且未执行的,或者分包人提出异议但承包人再次要求分包人执行,分包人在 3 天内仍不执行的,承包人可委托第三方完成该指令,因此发生的费用由分包人承担。

因承包人未能按合同约定发出指令、指令延误或发出了错误指令而导致分包人费用增加和(或)工期延误的,由承包人承担相应责任。

Should the Subcontractor deem an instruction issued by the Contractor to be unfeasible, it shall provide reasons for non-execution within three days upon receipt of the instruction. Should the Contractor subsequently require the Subcontractor to execute the instruction despite the reasons provided, the Subcontractor shall comply, except where the instruction contravenes statutory provisions or mandatory standards.

Should the Subcontractor neither raise objections nor execute the instruction within three days of receipt, or should the Subcontractor raise objections however the Contractor subsequently requires execution and the Subcontractor still fails to execute within three days, the Contractor may engage a third party to complete the instruction. Any costs incurred thereby shall be undertaken by the Subcontractor.

Where the Subcontractor incurs additional costs and/or suffers delays to the programme due to the Contractor's failure to issue instructions as stipulated in the Contract, delays in issuing instructions, or the issuance of erroneous instructions, the Contractor shall undertake the corresponding liability.



2.5.2 紧急指令的处理

3 分包人

3.1 分包人的一般义务

3.1 General Obligations of the Subcontractor



分包人在履行分包合同过程中应遵守法律规定和工程建设标准,并履行以下义务:

The Subcontractor shall, in performing the subcontract contract, comply with legal provisions and construction standards, in addition to fulfil the following obligations:



(1)按照法律规定和分包合同约定办理分包工程许可和批准手续;

(1) To go through the procedures of permits and approvals for the subcontracted works in accordance with legal requirements and the subcontract contract;



(2)按照法律规定和分包合同约定完成分包工程,对施工作业和施工方法的完备性和安全可靠性负责;

(2) To complete the subcontracted works in accordance with legal requirements and the subcontract contract, assuming responsibility for the completeness and safety of construction operations and methods;



(3)查勘施工场地,充分了解分包工程所在地的气象条件、交通条件、风俗习惯以及与履行分包合同有关的其他情况;

(3) To survey the construction site to fully acknowlege the meteorological conditions, transport conditions, local customs, and other circumstances with respect to the performance of the subcontract contract at the location of the subcontracted works;



(4)按照法律规定和分包合同约定,负责编制和管理分包工程资料,并确保工程资料的真实性、完整性及有效性。

(4) To compile and manage subcontracted works documentation in accordance with legal provisions and the subcontract contract, ensuring the authenticity, completeness, and validity of such documentation.

Should the Contractor insist on replacing the project management personnel after receiving the Subcontractor's justification, the Subcontractor shall proceed with the replacement and the Subcontractor refuse replacement without justifiable grounds shall undertake liability for breach of contract as stipulated in the particular conditions of contract.

Unless otherwise stipulated in the particular conditions of contract, the ubcontractor which fail to adequately survey or understand the aforementioned circumstances, or to adequately assess the potential consequences arising therefrom shall undertake any additional costs and/or delays to the programme resulting therefrom.

法律规定需要持证上岗的特殊工种作业人员,必须具有行政管理机关颁发的相应岗位的特殊工种上岗证,并在相应作业人员进场前报送承包人审核备案。特殊工种作业人员未取得相应职业资格证书或无上岗证的,承包人有权禁止其上岗作业,分包人应予以更换,并按专用合同条款约定承担违约责任。

3.7.1 The Subcontractor shall collect, collate, prepare, submit for review and approval, compile into volumes, hand over, and archive the subcontracted works records in accordance with laws, regulations, standards, and specifications, whilst complying with the requirements of the subcontracted works progress plan.



3.7.2 分包人应当按照专用合同条款约定的份数和要求,提交分包工程资料。分包人不得以其他理由拒绝提交工程资料。

The subcontractor shall carefully read and fully understand the provisions of the general contract furnished by the contractor for the subcontractor to consult. For articles in the subcontract requiring the subcontractor to perform obligations of the contractor under the main contract, the contractor shall furnish the subcontractor with the relevant main contract articles for reference.

5 分包工程质量

The quality of subcontracted works should comply with mandatory technical standards and specifications of the State, industry, and the project location, whilst also meeting the quality standards stipulated in the main contract. In addition to the quality standards stated in the contract agreement, the parties hereto may separately stipulate special quality standards or requirements for the subcontracted works in the particular conditions of contract.

The contractor shall, in accordance with legal provisions and the main contract agreement, establish the quality management system for the main contract works, which shall incorporate the quality management of subcontracted works, manage the construction quality and safety of the subcontractor, in addition to undertake the supervisory obligations with respect to the quality of subcontracted works, ensure the subcontractor's construction comply with legal requirements, relevant standards and specifications, and the terms of this contract, and shall also undertake supervisory and management duties with respect to the subcontractor's safety precautions and civilised construction practices.

The subcontractor shall, in accordance with article 7.1 , submit to the contractor the quality assurance system and measures documentation for the subcontracted works, in addition to establish and strictly implement the system of comprehensive quality inspection, and shall comply with the contractor's supervision and management of the quality of the subcontracted works.

5.5.1 因分包人原因造成分包工程不合格的,承包人有权随时要求分包人采取补救措施,直至达到分包合同约定的质量标准,由此增加的费用和(或)延误的工期由分包人承担。无法采取措施补救的,按照第18.2款〔拒绝接收全部或部分分包工程〕执行。

5.5.1 Where subcontracted works fail to meet standards due to the Subcontractor's fault, the contractor shall, at any time, have the right to require the subcontractor to take remedial measures until the quality standards stipulated in the subcontract contract are achieved, and any additional costs and/or delays incurred shall be undertaken by the Subcontractor. Failure of taking the remedial measures shall apply Article 18.2 .



5.5.2 因承包人原因造成分包工程不合格的,分包人应采取补救措施,由此增加的费用和(或)延误的工期由承包人承担,并支付分包人合理的利润。

5.5.2 Where subcontracted works are non-compliant due to the contractor's fault, the subcontractor shall implement remedial measures, and any additional costs and/or delays incurred shall be undertaken by the contractor which shall also pay the subcontractor a reasonable profit.

6.1.1 承包人和分包人应按法律规定和分包合同约定采取安全文明施工措施并履行安全文明管理义务,包括但不限于施工安全、消防、临时用电等安全管理。承包人应向分包人进行安全文明施工措施交底。安全文明施工措施的分工与执行由合同当事人在专用合同条款中约定,因安全文明施工措施不到位而发生的安全生产事故由责任方承担责任。

6.1.1 The contractor and Subcontractor shall, in accordance with legal provisions and the Subcontract contract, implement safety and civilised construction measures and fulfil the obligations of safety and civilised management, including, inter alia, construction safety, fire prevention, and temporary electrical safety management. The contractor shall disclose the subcontractor on safety and civilised construction measures. The pision of responsibilities and implementation of safety and civilised construction measures shall be stipulated by the parties hereto in the particular conditions of contract. The responsible party shall undertake liability for any safety production accidents arising from inadequate safety and civilised construction measures.



6.1.2 承包人应负责分包工程施工期间施工场地的安全保卫工作,分包人应予以配合。在施工场地或生活区发生突发事件的,分包人应积极协助承包人、发包人和当地行政管理机关采取措施平息事态,尽量避免人员伤亡和财产损失。

6.1.2 The contractor shall, with the subcontractor’s cooperation, be responsible for security at the construction site during the subcontracted works. In the event of an emergency occurring at the construction site or living quarters, the subcontractor shall actively assist the contractor, the employer, and local administrative authorities in taking measures to resolve the situation, endeavouring to minimise casualties and property damage.



6.1.3 分包工程施工过程中发生安全生产事故的,分包人应立即通知承包人。承包人和分包人应立即组织人员和设备进行紧急抢救和抢修,减少人员伤亡和财产损失,并保护事故现场。需要移动现场物品时,合同当事人应作出标记和书面记录,妥善保管有关证据。承包人和分包人还应按照法律规定,及时如实地向有关部门报告事故情况以及正在采取的紧急措施等。

6.1.3 Where a work safety incident occur during the Subcontracted Works, the Subcontractor shall without any delay, notify the Contractor which shall, joint with Subcontractorm firtgwith mobilise personnel and equipment for emergency rescue and repairs to minimise casualties and property damage, while preserving the accident scene. Where scene items require relocation, the parties hereto shall mark and written records such items, safeguard relevant evidence. The contractor and subcontractor shall also report the accident circumstances and emergency measures taken to relevant authorities without delay and truthfully in accordance with legal requirements.



6.1.4 分包人对安全生产措施费应专款专用,不得挪作他用,否则承包人有权责令其限期改正;逾期未改正的,承包人有权责令分包人暂停施工,由此增加的费用和(或)延误的工期由分包人承担。

6.1.4 The subcontractor shall earmark the fund of safety production measures exclusively for its intended purpose and shall not pert it for other uses, otherwise the contractor has right to order rectification within a specified time limit. Where rectification fail to be completed by the deadline, the contractor shall have the right to order the subcontractor to suspend construction. Any additional costs and/or delays incurred as a result shall be undertaken by the subcontractor.

The subcontractor shall implement the measures in accordance with the approved construction organisation design to prevent environmental damage and pollution. The subcontractor shall undertake responsibility for any environmental pollution caused by its actions.



6.3 劳动用工及建筑工人工资管理

6.3.1 分包人应与其为履行分包合同而雇佣的人员订立劳动合同或用工协议,并按法律规定保障劳动者的各项权利。分包人应为前述人员办理在工程所在地合法工作所必需的证件。

Each party acknowledges that in the course of performing under this Agreement, or in the course of discussing or negotiating Statement of Work(s) and/or any Exhibits or future agreements between the parties, a party may learn confidential, trade secret, or proprietary information concerning the other party or third parties to whom the other party has obligations of confidentiality (“Confidential Information”). This company’s Confidential Information shall include any software provided herein. Each party acknowledges that it acquires only the right to use the Confidential Information of the other party under the terms and conditions of this Agreement for as long as this Agreement Is in effect and that neither party shall acquire any rights of ownership or title in the other party’s Confidential Information.

Either party shall keep the Confidential Information received from the other party confidential, and shall not disclose the Confidential Information to any third parties, directly or indirectly, orally or in writing or in any other way, except when expressly authorized in writing by the Discloser. As an exception, either party may disclose such Confidential Information to its officers, employees, agents or advisors, (hereinafter “representatives”) to the extent such disclosure is necessary to perform the Cooperation, and provided that such representatives do not disclose such Confidential Information to any third party and have agreed in writing to keep such Confidential Information confidential in accordance with the terms of this Agreement. In the event the Recipient is ordered by a court of competent jurisdiction or other governmental agencies to disclose any of such Confidential Information, the Recipient shall immediately notify the Discloser of such order so that the Discloser may have a chance to seek appropriate protective agreement or order or make other arrangements. The Discloser retains all rights (including copyright and the right to apply for industrial property rights, such as patents, utility models, industrial design protection, etc.) with respect to the Confidential Information the Discloser provides.

Each Party undertakes with the other Party that it shall treat as strictly confidential all information received or obtained by it or its employees, agents or advisers as a result of entering into or performing this Agreement including information relating to the provisions of this Agreement, the negotiations leading up to this Agreement, the subject matter of this Agreement or the business or affairs of the other Party or any member of the other Party’s group of companies and that it shall not at any time hereafter make use of or disclose or pulge to any person any such information and shall use its best endeavors to prevent the publication or disclosure of any such information.

Confidential Information in this Contract means any and all technical, financial or commercial information stated by either party to be confidential or confidential in mature, provided, however, that the term “Confidential Information” shall not include any information which:

Was available to the receiving Party from a source other than the disclosing Party, provided that such source is not under any confidentiality obligation to the disclosing Party; or

Is developed by a Party independently of any information disclosed by or on behalf of the disclosing Party.

The burden of proof in respect of this Article 34 is on the party claiming that any of the exceptions specified under (a) to (d) shall apply.

Each Party shall keep in strict confidence all Confidential Information obtained from the other Party in the course of performance of this Contract. Each Party shall use Confidential Information only to the extent necessary to fulfill its obligations under this Contract and for the use of the Plant.

Each Party may disclose Confidential Information to its employees and to third parties only to the extent strictly necessary for the performance of this Contract and for the use of the Plant, or as required by law. A Party so disclosing shall cause its employees and third parties to observe the obligations of this Article.



保密信息的保存 Storage of Confidential Information

一方应谨慎保存另一方向其披露的保密信息,并应采取合理措施防止信息泄漏给未经授权的第三方。接收方应仅以本合同为目的来复制另一方向其披露的保密信息。

Each Party shall store away carefully the Confidential Information disclosed by the other Party and shall take reasonable measures to prevent disclosure to unauthorized parties. A receiving Party shall copy the Confidential Information disclosed by the other Party only to the extent that this is necessary in the context of the purpose.



除为履行其职责而确有必要知悉保密资料的该方雇员(或其关联机构、该方律师、会计师或其他顾问的雇员)外,不向其他任何人披露,且上述人员须签署书面保密协议,其中保密义务的严格程序不得低于本条的规定。

not disclose any such Confidential Information to any person or entity, except to its employees or employees of its Affiliates, its agents, attorneys, accountants and other advisors who need to know such information to perform their responsibilities and who have signed written confidentiality contracts containing terms at least as stringent as the terms provided in this Article .



The provisions of Article above shall not apply to information that:

Each party shall formulate rules and regulations to inform its directors, senior staff, and other employees, and those of their Affiliates of the confidentiality obligation set forth in this Articles .

Upon the expiration or termination of this Contract, , the receiving Party shall (i) return to the other Party, or at the disclosing Party’s direction destroy, all materials (including any copies thereof) embodying the other Party’s Confidential Information and (ii) certify in writing to the other Party, within ten days following the other Party’s request, that all of such materials have been returned or destroyed.

The Supplier shall not, without the Purchaser’s prior written consent, disclose the Contract, or any provision thereof, or any specification, plan, drawing, pattern, sample, or information furnished by or on behalf of the Purchaser in connection therewith, to any person other than a person employed by the Supplier in the performance of the Contract. Disclosure to any such employed person shall be made in confidence and shall extend only so far as may be necessary for purposes of such performance.



The Supplier shall keep secret and not disclose and shall procure that his employees keep secret and do not disclose any information of a confidential nature obtained by him by reason of this Order except information which is in the public domain otherwise than by reason of a breach of this provision

A party shall prevent any information about the other party from being disclosed to any third person and may not disclose or otherwise use any information about the other party until at earliest after the last delivery under this Agreement. 任何一方应当保证不将信息披露给任何第三方,或着在本协议项下最后交付三年后才可以透漏给第三方使用。



However, a party is free to disclose or otherwise use any information which it can prove

all information that is by nature confidential or that is provided on a confidential basis for the purpose of the application of preferential rules of origin is treated as strictly confidential by the authorities concerned, which shall not disclose it without the specific permission of the person or government providing such information, except to the extent that it may be required to be disclosed in the context of judicial proceedings.



除了履行本合同规定的责任外,包销商不得在任何时候将卖方提供给它的秘密资料泄露给任何人、商号或公司,秘密资料包括但不限于贸易秘密,客户名单,客户资料,资信报以及财务报告等

Distributor agrees that it will not disclose at any time any confidential information transmitted to it by seller, including but not limited to trade secrets, customer’s lists, customer’s information and credit or financial information, to any person, firm or corporation other than in the course of the performance its duties hereunder.



买方、其雇员、代理或分包商须对上述技术信息保密,不得复制、修改或披露,且不得用于除操作和维护货物以外的用途。如果买方不接受供应方的投标书,应将供应方提供的所有技术信息连同复印件退还给供应方。

Such technical information shall be kept confidential by the Purchaser, its employees, agents or subcontractors, shall not be copied, modified or disclosed by any of them and shall not be used by them otherwise than for the purposes of the operation and maintenance of the goods. In the event that the Purchaser does not accept the Contractor’s tender it shall return to the Contractor all technical information supplied by the Contractor together with any copies made.



由委托方收集的、开发的、整理的、复制的、研究的和准备的与本合同项下工作有关的所有资料在提供给咨询方时,均被视为保密的,不得泄漏给除委托方或其指定的代表之外的任何人、企业或公司,不管本合同因何种原因终止,本条款一直约束咨询方。

All data assembled, developed, compiled, reproduced, studied, and prepared in connection with the work done hereunder and furnished to Consultant by Client shall be considered confidential and shall not be pulged to any person, firm or corporation other than Client or its designated representatives. This Clause shall remain binding on Consultant notwithstanding the termination of the Contract for any reason.

在订单执行过程中,任何一方都可能掌握或接触另一方的机密信息和保密材料(以下统称“保密信息”)。双方同意将这些信息保密,仅对需要知道的对象披露,并将采取所有合理的防范措施以防止未经授权的披露,且像对待己方类似性质的信息那样对待对方的保密信息,直至这些保密信息非因保密方的过错而可为公众合法获悉时止。双方同意,未经另一方的明确书面许可,任何一方都不得将订单的存在、订单的任何细节和因订单而建立的关系的存在透露给任何第三方。一方未经另一方书面同意,不得超越订单履行目的使用另一方的保密信息。经任何一方要求,另一方应当立即签署保密协议。

During the course of IO, either party may have or may be provided access to the other’s confidential information and materials. Each party agrees to maintain such information in confidence and limit disclosure on a need to know basis, to take all reasonable precautions to prevent unauthorized disclosure, and to treat such information as it treats its own in formation of a similar nature, until the information becomes rightfully available to the public through no fault of the non-disclosing party. Both parties agree that neither will disclose the existence of IO, nor any of its details or the existence of the relationship created by IO, to any third party without the specific, written consent of the other. Neither party may disclose any confidential information to any other third party for other purposes without the other party’s written consent. Once request by one party, the other party should promptly sign the confidential agreement with it.

本公司提供给供应商的信息(包括但不限于技术和商业信息)属于本公司的财产。供应商 同意遵守与本公司签订的任何专有信息协议的条款,并遵守本合同项下本公司提供给供应商的任何东西上的专有信息标识和限制性图例。供应商同意不得将本公司提供之信息用于 履行本合同以外的其它目的,并且未经本公司事先书面同意,不得向第三方披露此等信息。

Information, including but not limited to technical and business information, provided by to Supplier remains the property of. Supplier agrees to comply with the terms of any Proprietary Information Agreement with and to comply with all Proprietary Information markings and Restrictive Legends applied by to anything provided hereunder to Supplier. Supplier agrees not to use any the company provided information for any purpose except to perform this Contract and agrees not to disclose such information to third parties without the prior written consent of company.
